Motorana Terms of Use

Effective Date: September 1, 2026

These Terms of Use ("Terms") govern your access to and use of Motorana, including the Motorana mobile application, website, marketplace features, communications tools, and related services (collectively, the "Service").

By accessing or using Motorana, you agree to these Terms. If you do not agree to these Terms, do not use the Service.

1. About Motorana

Motorana provides a marketplace that allows users to list, discover, communicate about, buy, and sell vehicle parts and related items.

Motorana provides the technology that helps buyers and sellers connect. Unless expressly stated otherwise, Motorana is not the buyer, seller, manufacturer, distributor, owner, or merchant of items listed through the Service.

Motorana does not take possession of listed items and does not guarantee that a transaction will be completed.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Motorana.

By using the Service, you represent that you meet these requirements.

You may not use Motorana if you have previously been suspended or removed from the Service unless Motorana expressly permits you to return.

3. Accounts and Access

Motorana may allow users to access the marketplace through anonymous, pseudonymous, device-based, token-based, or other account systems.

You may not be required to provide a real name, email address, or telephone number to use the core marketplace.

You are responsible for maintaining control of your device, account credentials, authentication tokens, or other means used to access your Motorana account.

You are responsible for activity occurring through your account or device unless prohibited by applicable law.

You may not transfer, sell, rent, or provide unauthorized access to a Motorana account.

4. Listings

Sellers are responsible for the accuracy, legality, and content of their listings.

When creating a listing, you agree that:

  • You have the legal right to sell the item.
  • The item exists and is reasonably described.
  • Photos and descriptions accurately represent the item.
  • The asking price is not intentionally misleading.
  • You will not falsely claim that an item is original, compatible, functional, or in a particular condition.
  • You will update or remove a listing when the item is no longer available.

Motorana may establish limits on the number, duration, content, or visibility of listings.

Listings may automatically expire after a specified period and may be eligible for renewal.

Motorana may remove or restrict any listing that violates these Terms or that we reasonably believe creates a safety, fraud, legal, or marketplace-integrity risk.

5. Prohibited Items

You may not use Motorana to advertise, sell, purchase, or facilitate transactions involving items that are illegal to possess, sell, ship, transfer, or purchase.

Prohibited listings include, without limitation:

  • Stolen property
  • Counterfeit goods
  • Items bearing unauthorized trademarks or copyrighted material
  • Items with altered, removed, or falsified serial numbers or identification markings
  • Illegal vehicle parts or equipment
  • Items obtained through fraud
  • Items whose sale would violate applicable environmental, safety, transportation, import, export, or consumer-protection laws
  • Any item Motorana determines presents an unreasonable safety or legal risk

Motorana may prohibit additional categories of items at any time.

Users are responsible for determining whether a particular part may legally be installed, used, sold, transferred, or shipped in their jurisdiction.

6. Vehicle Compatibility

Information regarding vehicle year, make, model, trim, engine, fitment, compatibility, or interchangeability is provided for convenience.

Motorana does not guarantee that any listed part will fit or function with a particular vehicle.

Buyers are responsible for independently confirming part numbers, measurements, specifications, compatibility, condition, and suitability before completing a transaction.

7. Transactions Between Users

Buyers and sellers are responsible for their own transactions.

Motorana does not guarantee:

  • The existence or condition of an item
  • The accuracy of a listing
  • The identity of another user
  • That a buyer will pay
  • That a seller will deliver an item
  • That an item will fit a particular vehicle
  • That an item is safe, legal, authentic, or free from defects
  • That a transaction will be completed

You are responsible for inspecting items and exercising reasonable judgment before exchanging money or property.

8. Payments

Motorana may allow sellers to provide third-party payment identifiers, payment links, or QR codes, including identifiers associated with services such as Venmo or Cash App.

Unless Motorana expressly states otherwise, Motorana does not process these payments.

Payments are made directly between users through the applicable third-party payment provider.

Motorana does not receive or hold transaction funds and is not responsible for:

  • Payment reversals
  • Chargebacks
  • Unauthorized transactions
  • Payment-provider outages
  • Frozen accounts
  • Payment-provider fees
  • Disputes arising from the payment service

Your use of a third-party payment provider is governed by that provider's own terms and policies.

A seller marking an item as "paid," "sold," or similar does not constitute independent verification by Motorana that payment occurred.

9. In-Person Transactions

Motorana may be used to arrange in-person transactions.

Users are responsible for choosing when, where, and how to meet.

You should use reasonable precautions when meeting another user, including considering a public and appropriately safe location.

Motorana does not supervise in-person transactions and is not responsible for conduct occurring during a meeting between users.

10. Messages, Calls, and User Communications

Motorana may provide messaging, voice, video, or other communication tools.

You agree not to use those tools to:

  • Threaten or harass another person
  • Send unlawful or abusive content
  • Engage in fraud or deceptive conduct
  • Send spam or unsolicited commercial messages
  • Impersonate another person
  • Attempt to obtain passwords, authentication credentials, or sensitive financial information
  • Distribute malware or harmful code

Motorana may use automated systems or other tools to detect abuse, spam, fraud, or technical problems.

Motorana does not record voice or video calls unless that functionality is specifically disclosed and any required consent is obtained.

11. User Content

"User Content" includes listings, descriptions, photos, messages, usernames, payment handles, and other content you submit to Motorana.

You retain ownership of your User Content.

By submitting User Content, you grant Motorana a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, format, resize, and otherwise use that content as reasonably necessary to operate, promote, secure, and improve the Service.

This license lasts for as long as reasonably necessary to provide the Service and comply with applicable legal, security, backup, and recordkeeping requirements.

You represent that you have the rights necessary to submit your User Content and permit Motorana to use it as described in these Terms.

12. Intellectual Property

Motorana respects intellectual property rights.

You may not use the Service to offer counterfeit goods, infringe another person's copyright or trademark rights, or otherwise violate intellectual property laws.

Motorana may remove content in response to valid intellectual property complaints and may restrict or terminate users who repeatedly infringe the rights of others.

13. Motorana Intellectual Property

Motorana and its associated software, designs, logos, trademarks, interfaces, graphics, and other proprietary materials are owned by Motorana or its licensors.

Except for the limited right to use the Service under these Terms, no rights in Motorana's intellectual property are transferred to you.

You may not copy, modify, reverse engineer, sell, sublicense, or exploit any portion of the Service except as permitted by applicable law or with Motorana's written permission.

14. Advertising

Motorana may display advertising, sponsored content, or promotional material.

Advertisements may be provided by Motorana or third-party advertising providers.

Motorana does not necessarily endorse products or services advertised through the Service.

Advertising and tracking practices are further described in the Motorana Privacy Policy.

15. Prohibited Conduct

You may not:

  • Use Motorana for illegal activity
  • Commit or attempt fraud
  • Create deceptive or misleading listings
  • Manipulate listings or marketplace activity
  • Scrape or systematically extract Motorana data without permission
  • Interfere with or overload the Service
  • Probe, scan, or test Motorana systems for vulnerabilities without authorization
  • Circumvent security measures
  • Attempt to access another user's account
  • Introduce viruses, malware, or harmful code
  • Use automated systems to create accounts, listings, messages, or other activity in a manner that disrupts the Service
  • Impersonate another person or organization
  • Use Motorana to harass, threaten, or harm another person
  • Violate the rights of another person
  • Encourage or assist another person in violating these Terms

16. Marketplace Enforcement

Motorana may investigate suspected violations of these Terms.

We may take actions including:

  • Removing listings
  • Limiting listing visibility
  • Restricting messaging or calling functionality
  • Suspending access
  • Terminating accounts
  • Blocking devices or identifiers
  • Preserving information where reasonably necessary for security or legal purposes

Motorana may take these actions with or without advance notice where permitted by law.

We are not obligated to monitor every listing, message, transaction, or user.

17. Third-Party Services

Motorana may link to or interact with third-party services, including payment providers.

Motorana does not control those services and is not responsible for their availability, security, content, policies, or practices.

Your relationship with a third-party service is governed by the terms between you and that provider.

18. Service Availability

We aim to keep Motorana available and reliable, but we do not guarantee uninterrupted access.

The Service may occasionally be unavailable because of maintenance, technical failures, network problems, third-party services, security incidents, or other circumstances.

Motorana may modify, suspend, discontinue, or replace any feature of the Service.

19. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTORANA IS PROVIDED "AS IS" AND "AS AVAILABLE."

MOTORANA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

MOTORANA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

MOTORANA DOES NOT WARRANT OR GUARANTEE ANY ITEM, LISTING, SELLER, BUYER, TRANSACTION, PAYMENT, VEHICLE COMPATIBILITY INFORMATION, OR USER CONTENT.

Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTORANA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF MOTORANA.

This includes damages arising from:

  • Transactions between users
  • Defective or incorrectly described parts
  • Vehicle damage
  • Personal injury
  • Lost profits or revenue
  • Loss of data
  • Fraud or misconduct by another user
  • Payment disputes
  • Unauthorized account access
  • Interruption or loss of access to the Service

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTORANA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID DIRECTLY TO MOTORANA DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Motorana and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your use of Motorana
  • Your listings or User Content
  • Your transactions with other users
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of another person's rights

22. Release of Claims Between Users

To the maximum extent permitted by law, you release Motorana from claims, demands, liabilities, and damages arising from disputes or transactions between you and another Motorana user.

Motorana may choose to assist with a dispute but has no obligation to do so.

Nothing in this section limits rights that cannot legally be waived.

23. Privacy

Your use of Motorana is also subject to the Motorana Privacy Policy.

The Privacy Policy explains what information Motorana collects and how that information is used and shared.

24. Suspension and Termination

You may stop using Motorana at any time.

Motorana may suspend or terminate your access if we reasonably believe that you:

  • Violated these Terms
  • Created a safety or fraud risk
  • Misused the Service
  • Violated applicable law
  • Created legal or operational risk for Motorana or its users

Certain provisions of these Terms will survive termination when their nature requires them to continue, including provisions regarding intellectual property, disclaimers, liability, indemnification, and dispute resolution.

25. Changes to These Terms

Motorana may update these Terms as the Service evolves.

If we make material changes, we may provide notice through the Service or by other reasonable means.

The updated Terms will include a revised effective date.

Your continued use of Motorana after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

26. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any rights you may have under mandatory consumer-protection laws in your jurisdiction are not waived by this provision.

27. Disputes

Before filing a legal claim relating to Motorana, you agree to make a reasonable effort to contact Motorana and attempt to resolve the dispute informally.

Unless applicable law requires otherwise, any court proceeding relating to these Terms or the Service will be brought in a state or federal court located in California, and you consent to the jurisdiction of those courts.

This provision does not prevent either party from seeking relief in small claims court when eligible.

28. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be enforced to the maximum extent permitted by law.

29. No Waiver

Motorana's failure to enforce a provision of these Terms does not waive our right to enforce it later.

30. Entire Agreement

These Terms, together with the Motorana Privacy Policy and any additional policies expressly incorporated into these Terms, constitute the agreement between you and Motorana concerning the Service.
